September 1999 Society Announces Nominating Committee Election Procedures Official Legal Notice for 2000-2001 Term By Joanne Golden Article IX of the NYSSCPA bylaws sets forth the procedures to be followed for the election of the Committee on Nominations. Seven of the nine members of the committee are elected by the membership and two members are designated by the board of directors. Nominations for the seven members elected by the membership shall be by petition filed with the Secretary between September 1 and the close of the first general meeting of the Society after October 1, 1999 (scheduled this year for November 15, 1999; See meeting notice on page 3.) Members may obtain a petition form by contacting Pat Borges at (212) 719-8302 or by e-mail at pborges@nysscpa.org Each petition must be signed by at least 10 members other than the nominee. The signing members shall have been members for at least five consecutive years and shall certify that the nominee has consented to serve if elected. No member shall be eligible to be one of the seven members to be elected by the membership if he or she is a current member of the board of directors or was a member of the Nominating Committee for either of the two preceding fiscal years, or has less than five years of continuous membership in the Society, including at least two years of committee participation. The following members are not eligible because of current membership on the board of directors or because of service on the Nominating Committee 1998-99 or 1999-00:

Composition and tenure--The nominating committee shall consist of nine CPA members. At the first meeting of the Society after October 1, the procedure shall automatically be initiated for the election or designation of seven of the nine members of the nominating committee. None of the seven shall be a member of the board of directors. By November 30, two of the nine members of the nominating committee shall be designated by the board of directors from its elected members. No member shall be eligible for election to the nominating committee if the member has served as a member of the nominating committee for either of the two preceding fiscal years or if the member has less than five years' continuous membership in the Society, and has less than two years of committee participation. The nominating committee shall designate its own chairperson from among its members. A member of the nominating committee shall serve until the close of the fiscal year in which the member is elected or designated, or until the election, or designation, of the member's successor, whichever is later.
2. Nominations for committee--Nomination for member of the nominating committee, other than a member designated by the board, shall be by petition, filed with the Secretary between September 1 and the close of the first meeting of the Society after October 1. The Secretary shall set forth in the notice of that meeting a fair summary of this Article. Each petition shall be signed by at least ten members other than the nominee. The signing members shall have been members of the Society for at least five consecutive years and shall certify that the nominee has consented to serve if elected. The names of all nominees shall be announced by the President at the close of that meeting.
3. Seven or fewer nominees--If there are seven or fewer nominees for members of the nominating committee, other than the two members designated by the board, all nominees shall automatically be deemed elected. If there are fewer than seven nominees, the board shall, at its first meeting following the first meeting of the Society after October 1, designate additional members to the nominating committee in accordance with paragraph 5 of this Article to complete the seven set forth in paragraph 1 of this Article.
4. More than seven nominees--If there are more than seven nominees for members of the nominating committee, other than the two members designated by the board, a mail ballot shall be had. The ballot shall set forth the names of the nominees in alphabetical order. Accompanying the ballot, the Secretary shall set forth the same personal information in respect to each nominee as appears or would appear in the Society's published roster of membership, and a fair summary of the Society accomplishments of each nominee. The seven nominees with the largest number of votes shall be members of the nominating committee.
5. Vacancy--If a vacancy occurs in the nominating committee, other than the two members designated by the board, the board shall designate a CPA member not a member of the board and not a member of the nominating committee for either of the two preceding fiscal years, to fill the vacancy. A vacancy shall automatically occur if a member of the nominating committee becomes a member of the board. If a vacancy occurs in the nominating committee in respect to the two members designated by the board, the board shall designate an elected director to fill the vacancy. |
